Eczacıbaşı Investment Holding was established in December 1973 on an initial investment of 80.000.000 TL. In February 1974, the company offered 50 percent of its shares to the public and became one of the first publicly traded companies in Turkey. In 1984, the company adopted the registered capital system. Today it has a capital of 105.000.000 TL and its registered capital is 500.000.000 TL. The company’s principal business activity is to partner with companies established or to be established in opportune fields with the prospect of consistent dividends, and to participate in these companies’ capital increases. Eczacıbaşı Investment Holding has 3 subsidiaries that are all Eczacıbaşı Group companies.

Eczacıbaşı Pharmaceutical, Industrial and Financial Investments

Having operationalized Turkey’s first modern national pharmaceutical production plant in 1952, Eczacıbaşı Pharmaceutical Manufacturing’s foundations were laid by Dr. Nejat F. Eczacıbaşı upon his return to the country in 1942 after completing his studies abroad. Since then, the company has spearheaded the Turkish pharmaceutical industry with high standards and a myriad of innovations. In view of the changes occurring across pharmaceutical markets in Turkey and the world, Eczacıbaşı Pharmaceutical Manufacturing began its search for strategic partners and in 2007 assigned 75 percent of its partnership interests in its subsidiaries Eczacıbaşı Health Products and Eczacıbaşı Özgün Kimya to Zentiva N.V, a leading European company specializing in generic drugs. The remaining partnership interest of 25 percent was assigned in July 2009. Eczacıbaşı Pharmaceutical Manufacturing’s title was changed to “Eczacıbaşı Pharmaceutical, Industrial Investment Inc.” and the new title was published in the 7195th issue of Turkish Trade Registry Gazette dated November 24, 2008. With no manufacturing activities, Eczacıbaşı Pharmaceutical and Industrial Investment is a holding company with subsidiaries, joint stock companies and affiliates. Within this framework, the company directly engages in real estate development and fulfills the role of a strategic partner in the markets for health, fast moving consumer goods, building products and other industries.

Established in 1989 to provide Eczacıbaşı Group companies with consultancy, maintenance and support services in IT, Eczacıbaşı Information and Communication Technologies was restructured in 2002 to expand and include non-Group companies in its client database. ESAN

Esan was established in 1978 to produce high quality raw materials for the Eczacıbaşı Group’s ceramic plants. Today, with over 40 years of experience and a yearly production volume of 3 million tons, it is one of Europe’s foremost industrial mineral producers and Turkey’s leading exporter of lead concentrate. Esan markets more than 150 products to industries in Turkey and currently operates 40 mines, the output of which is processed in 8 plants located in Bozüyük, Sarıbeyli, Çine, Milas, İnlice and Balya. Currently exporting to nearly 50 countries, Esan operates through Esan Italia Minerals in Italy and branch offices in Ukraine and China. Esan Italia Minerals

Esan Italia Minerals s.r.l was founded in 2005 to provide high quality after-sales services to ceramics producers in Sassuolo, Italy, the center of Italy’s ceramics industry and Esan Industrial Raw Material’s largest overseas market. The company is responsible for the shipping and delivery of the full range of industrial materials produced by Eczacıbaşı Esan (feldspar, ball clay, kaolin, quartz, bentonite) to customers in Italy through its stockyard at the port of Ravenna.

Kanyon Management and Marketing

A joint investment of the Eczacıbaşı Group and İş Gayrimenkul Yatırım Ortaklığı (İş REIC), the Kanyon project was the largest residential, office and shopping-entertainment complex in Turkey and Europe at the time of its opening, covering an indoor area of 250 thousand square meters. The project was realized as a 50-50 partnership agreement and completed in May 2006. Redefining urban life in every aspect, Kanyon brings together the comforts of a shopping mall with the vibrant ambience of street life. With a rich selection of stores and restaurants, Kanyon offers Istanbulites a plethora of tastes. Kanyon took three years to construct and cost US$ 200 million. It was built at the intersection of three Istanbul districts, Beşiktaş, Şişli and Levent, on the grounds of the first Eczacıbaşı Pharmaceuticals plant. Kanyon was constructed by highly reputable engineering and architecture firms from Turkey and the world and stands apart from other residential-office-shopping complexes in the country with its unique approach and organic architecture harmonizing with human nature. Having introduced Istanbulites to many brands for the first time, Kanyon became a living space that combines shopping and entertainment with a selection of stores offering world famous brands and restaurants at the forefront of the city’s social life. Eczacıbaşı Property Development and Investment

The company was established in 1989 to facilitate the realization of the Eczacıbaşı Group’s construction projects and has been actively engaged since 2007 in property development and project management. Besides its main objective to develop Group-owned real estate, the company also forms solution partnerships to develop original, ecological and sustainable projects responding to diversified lifestyles through an architecturally distinctive approach and spearheading design. Major projects so far completed by Eczacıbaşı Property Development and Investment include the Kanyon Project (Levent), Kanyon Heliport (Kanyon Office Tower, Levent), Eczacıbaşı Holding Tower (Levent), New Office Tower 193 (Levent), E-Kart Electronic Card Systems Plant (Gebze), Eczacıbaşı Sports Club Sports Hall Construction (Ayazağa) and Ormanada Residences Project (Zekeriyaköy). The company is currently working on the Kartal Urban Transformation Project and the Sarıyer/Ayazağa Urban Transformation Project.

Eczacıbaşı Insurance Agency is a subsidiary of the Eczacıbaşı Group providing services in insurance brokering and consultancy. The company serves not only Group companies and employees but also corporate and individual clients from outside the Group, deriving 35% of its revenues from external premium production. Eczacıbaşı Insurance Agency has agency contracts with many major insurance companies in Turkey and provides special premium discounts on their standard individual products. It also offers individual customers motor and homeowner insurance with broader than market standard coverage at affordable premium rates. Through the fixed asset/profit loss facility offered to corporate clients outside the Group, Eczacıbaşı Insurance Agency is able to offer broad coverage on insurance policies specific to this branch at affordable premiums. The company cooperates with reinsurance brokers to facilitate access for its non-Group clients to products and capacities which are otherwise unattainable in the country.
